Lighthouse team is ready to perform all the administrative routines (back-office) necessary for the Administrator to run the company. Lighthouse’s Administration Services includes the following activities:

• management of the financial liquidity of the company: bank account, investment account, FX transactions, etc.
• management of the accounts payable and receivable of the company; implementing and executing the contracting party routines for liquidation and issuing of invoices
• deliver of periodic reports containing the company’s expenditures and incomes.
• proactively monitoring the arrival of notifications from the Labor Court, Civil Court and Fiscal Authorities. In each case notifying at the same time the relevant department of the contracting party and the Law Firm in charge for the case or matter.
• document management: Lighthouse team will administrate the historical data portfolio of the contracting party; managing the storage services providers (physical storage and electronic data storage).

It is mandatory for all Brazilian companies to have at least one Officer (formerly known as Administrator) who has to be resident in Brazil. Company Officer(s) represents the company in and out of court and is not responsible for the obligations assumed in the company’s name. In addition to absorbing the duties and responsibilities outlined in the Articles of Association of the Company, the Administrator is responsible to oversee the administrative and controlling routines.

Lighthouse team has vast experience monitoring litigation portfolios for our clients. Our expertise as lead negotiators in work out cases is also aimed to power up with the client’s Legal advisors.

Lighthouse monitoring model:

• Assessment: together with the client Lighthouse brainstorms on the overall strategy and parameters for each case (goals, payment and conditions, worst-case scenario options, etc.)
• Taking ownership of the case: Lighthouse team establishes a direct contact with the Law Firms and lawyers in charge of each case. We visit all the lawyers and debate all the cases. We make sure to position ourselves as the contracting party representatives.
• Proactively & Restless Follow Up: Lighthouse team will maintain close supervision on the litigation portfolio and on the dead-lines.
• By way of Lighthouse’s monitoring report our team will gather updated information from the various Law Firms in charge of the portfolio and, on a regular basis, will provide a power report (succinct) to the contracting party, in English.

All Brazilian companies must have a registered address in Brazil in the state of the company's formation. Lighthouse Consulting will make available (sublease) one of its offices to become the official registered address of the company during its non-operational stage.

Lighthouse team has vast experience managing carve-out processes, conducting with the support of specialized third-party providers (Accounting and Consulting Firms, Benefit’s Brokers, Insurance Brokers, Law Firms, etc.) all the necessary measures to ensure a smooth transition from the old to the new operation.
